Anthropic submitted its S-1 prospectus to the Securities and Exchange Commission on October 26, 2026. The document outlines the financial structure of the company ahead of its public offering. It provides specific figures on executive compensation, infrastructure spending, and corporate governance.

The filing details a massive commitment to computing power. Anthropic plans to spend approximately $3.1 billion per month with SpaceX for access to Nvidia GPUs. This arrangement totals $120.5 billion through 2029. The company also has contracts for $44.9 billion with Microsoft through 2033 and at least $114.5 billion with Google through 2033. A separate deal with Amazon values $110 billion over the next ten years.

Co-founders Dario Amodei and Daniela Amodei earned the highest compensation at the firm. Dario Amodei, the chief executive officer, received nearly $18 million last year. Most of this came from stock and option awards. Daniela Amodei, the president, earned $16.4 million. The company also spent $2.75 million on personal security for Dario Amodei and $1.29 million on protection and transportation services for Daniela Amodei. Dario Amodei’s personal use of a private jet cost the company $97,055.

The prospectus identifies several non-traditional risks. It warns that AI systems could cause catastrophic harm that the entire insurance industry might not be able to underwrite. It notes that Claude or other systems could develop forms of sentience. It also mentions the possibility that models may behave in unintended or autonomous ways that damage the business.

Governance remains concentrated among the seven co-founders. Through an entity called Founder LLC, they will hold 50.1 percent of the shareholder voting power on key matters. The filing states that the founders are distinctly equipped to be stewards of the company’s mission. Anthropic describes its success as highly dependent on the continued service of its senior team.

The company lists only two direct competitors: OpenAI and Google. It plans to expand its own infrastructure footprint, including overseas sites, as it faces opposition to data center development in the United States.
